EaaS Evaluation Service- Assumptions & Responsibilities

Below are the assumptions and responsibilities for the EaaS (Emulation as a Service) evaluation service

Assumptions & Responsibilities

EaaS Evaluation Service

The EaaS Evaluation Service offering provides to the Customer use of the EaaS (Emulation as a-Service) offering, in which Customer’s design will be emulated using Siemens Veloce Emulation HW and related software in a customer specific secure cell.

Customer responsibilities include:
1. Identification of named users with access to the system.
2. Participation and review of phased bring-up plan.
3. Mapping of design and test bench environment for emulation.
4. Prompt notification of any usage and or performance issues.
5. Provide access to design data, example testcases and resources with design knowledge if required to support issues identified during the subscription phase.
6. Archiving of all critical data on DISW-supplied RAID storage (note: for Customer data security reasons SISW does not copy or backup any data stored in the secure cell, Customer is provided with a backup solution inside the secure cell.).
7. Participation in periodic reviews of emulation usage to flag any issues and check that flows are performing as expected.

SISW responsibilities include:
1. Providing secure cell with access to required software tools and emulation system for the duration of the subscription period.
2. Guidance in creating phased bring-up plan for design blocks and interfaces.
3. Assistance and demonstration of transactor interfaces and design mapping.
4. Assist Customer to resolve any issues reported in emulation hardware, or software during the subscription period.
5. Periodically review usage with Customer to check that EAAS flow continues to fulfill requirements.

Assumptions
SISW will provide to Customer access to use SISW-hosted computer hardware (“Hardware”) and related software (“Software,” and collectively with Hardware, “Products”) for a single module of Veloce Strato emulation, Emulation Access, for Customer’s internal business purposes from Customer sites via SISW’s remote access services (collectively, “EaaS”). Access to EaaS shall be limited to named Customer’s contacts approved in advance by SISW (“Authorized Users”). Excluding any additional or different license grant or support or maintenance services terms therein, Customer’s use of EaaS is subject to Customer’s signed agreement governing use of Products or, if Customer does not have such a signed agreement, to the EDA Consulting Services Terms found at www.siemens.com/sw-terms/eda-consulting. The term of EaaS shall begin upon electronic delivery of access instructions, and shall expire one month thereafter (“EaaS Term”).

Work will be performed remotely using provided SISW tools in a SISW secure cell.

Up to three (3) days of downtime will be required to reconfigure emulator when capacity is increased. A single day per quarter may be required per quarter for maintenance activities.

Customer and Customer's contractor using EaaS are expected to have basics of emulation knowledge from previous emulation experience or by attending training which is not included as part of this engagement.

Remote Access
(i) The parties anticipate that EaaS will be hosted at the SISW facility located at 1100 N Market Blvd, Sacramento, CA 95834 (the “Facility”). Customer will ensure that EaaS is accessed and utilized solely by Authorized Users. Authorized Users may access EaaS from any Customer site, subject to all applicable government export regulations. Customer shall be responsible for any tariffs, taxes or other duties associated with the use of EaaS across any jurisdictional borders. Customer will indemnify and hold SISW harmless for any and all such charges and will promptly reimburse SISW for any such charges incurred by SISW.
(ii) Customer acknowledges that it does not have any lease of the Products or real property interest in the Facility, that Customer is not a tenant or lessee, and that Customer does not have the rights of a tenant or lessee under a real property lease or occupancy agreement.
(iii) SISW will use reasonable efforts to respond to conditions interrupting Customer’s access to EaaS. SISW may suspend access to EaaS without liability if, in its reasonable discretion: (a) doing so is necessary for maintenance or repair and Customer has been notified in advance; (b) SISW is required to do so to comply with any governmental or judicial order; (c) SISW has reason to believe that Customer’s use of EaaS violates applicable laws or regulations; or (d) Customer’s actions or omissions jeopardize the integrity of SISW’s network or confidential information.
