1.1. These terms of use apply to the use of the “Siemens website” provided by Siemens AG and its affiliated companies (hereinafter referred to as “Siemens”).These Terms of Use may be changed or amended, or other terms of use may apply when purchasing products or services. These Terms of Use will be effectively applied as the current version when using the Siemens website regardless of whether you are logged in or not.
1.2. If the information provided on the Siemens website is intended for companies or organizations, individual users shall use it on the basis of appropriate knowledge on behalf of these companies or organizations.
2.1. The Siemens website contains specific information, software and, in some cases, related documentation for display or download.
2.2. Siemens may cease operation of the Siemens website in whole or in part at any time. Due to the nature of computer systems such as the Internet, Siemens is not legally responsible for keeping the Siemens website available at all times.
3.1. There are password-protected pages on the Siemens website. For the safety of commercial transactions, only registered users can access this page. Siemens reserves the right to refuse registration to all users. Also, Siemens has the right to change sites that were freely accessible in the past to those requiring user registration. If a user falls under any of the following items, Siemens may deny access to password-protected areas by blocking user data (3.3 “access code consisting of user ID and password”) without stating the reason.
- When false data is used for registration
- If you violate these Terms of Use or if you fail to take care of user data
- In case of violation of applicable laws and regulations when accessing or using the Siemens website
- If you haven't used the Siemens website for a long time
3.2. Users shall provide accurate information at the time of registration, and if such information changes over time, they shall update it without delay (online if possible).The user shall ensure that the email address provided to Siemens is up to date and that the user can be contacted at all times.
3.3. At the time of registration, an access code (hereinafter referred to as “user data”) consisting of a user ID and password is provided to the user. The user shall change the password provided by Siemens to a password known only to the user upon initial access. Using user data, users can view and change data, as well as withdraw their consent to data processing in accordance with regulations.
3.4. Users guarantee that user data is not accessed by third parties and are responsible for all transactions and activities carried out under such user data. Upon termination of an online session, the user shall log off from a password-protected website. If it is discovered that a third party is misusing user data, the user shall notify Siemens in writing and possibly by email without delay.
3.5. Upon receipt of the notice described in section 3.4, Siemens will deny access to password protected areas of such user data. Users will be able to access again by applying to Siemens or registering anew.
3.6. Users may request termination of registration in writing at any time. However, this is limited to cases where such termination does not interfere with the proper execution of this contractual relationship. If registration is terminated, Siemens will delete all user data and data that can identify the user as soon as the data is no longer needed.
4.1. These Terms of Use apply to information, software and documentation available on or through the Siemens website. Also, when updating information, software, and documentation, license terms previously agreed with Siemens apply. License terms separately agreed upon for software downloads etc. shall take precedence over these Terms of Use.
4.2. If a user uses information, software, or documentation available on or through the Siemens website within the scope of agreement, or within the scope of Siemens' intended purpose without agreement, Siemens grants the user a non-exclusive and non-transferable license that does not have the authority to grant sublicense rights.
4.3. The software can be used free of charge in an object code state. You are not entitled to use the source code. However, this does not apply to open source software source code. When transferring open source software, the license terms take precedence over these Terms of Use and require the use of the source code. In this case, Siemens will provide the source code in exchange for payment of costs.
4.4. Users shall not distribute, rent, or otherwise allow third parties to use information, software, or documents at any time. Unless permitted by law, users must not modify the software or documentation, and must not disassemble, analyze, imitate, decompile, or separate parts of the software. If necessary to ensure future use of the software, the user may make one backup copy of the software in accordance with these Terms of Use.
4.5. Information, software, and documentation are protected by copyright laws, international copyright treaties, and other laws and intellectual property agreements. Users shall not modify, conceal, or remove information, software, documents, alphanumeric codes, trademarks, or copyright notices on these copies in accordance with these laws and regulations.
4.6. The provisions of this section do not preclude the application of the German Copyright Act section 69a below.
5.1. Notwithstanding the provisions of section 4 of these Terms of Use, information, trademarks, and other content on the Siemens website may not be modified, copied, reproduced, sold, loaned, used, added, or otherwise used without the prior written permission of Siemens.
5.2. Users are not granted any rights other than the right of use or rights clearly granted in these Terms of Use, nor can they request the granting of any other rights. All patents and licenses are not granted to users unless otherwise specified.
5.3. Siemens may use ideas and suggestions provided by users via the Siemens website free of charge to develop, improve, and sell products.
6.1. When accessing or using the Siemens website, the user shall not do the following:
- Acts that adversely affect others, especially minors, or violate human rights.
- Acts that violate public order and morals - Acts that infringe intellectual property rights or other proprietary rights.
- The act of uploading programs that damage content or data containing viruses commonly called trojans.
- The act of transferring, storing, and uploading hyperlinks or content that users do not have rights to, in particular, violates confidentiality obligations or is illegal.
- The act of sending false warnings about advertisements, spam emails (so-called spam emails), viruses, defects, and other similar matters. Also, users shall not solicit or request participation in lotteries, snowball systems, chain letters, pyramid games, or similar activities.
6.2. Siemens may refuse access to the Siemens website at any time, in particular if the user violates its obligations under these Terms of Use.
Siemens websites contain hyperlinks to third party web pages. Siemens does not control the information on these web pages and is not responsible for the content and information posted on these web pages. Furthermore, Siemens does not represent or endorse that these web pages or their content are its own. Use of such web pages is solely at the user's risk.
8.1. Where information, software, or documentation is available free of charge, you are not responsible for defects in the quality or rights of the information, software, or documentation, except where there is intentional misconduct or misconduct with respect to completeness or suitability for a purpose, in particular the absence of accuracy or defects, the absence of a claim for damages or attachment to the right of a third party, or completeness or suitability for a purpose.
8.2. Information on the Siemens website includes specifications or summaries containing technical expectations that cannot be used in some cases due to changes in product specifications, etc. Product specifications shall be mutually agreed upon each purchase.
9.1. Siemens' liability for defects in quality and rights shall be determined in accordance with section 8 of these Terms of Use. Except as required by law, such as the Product Liability Act, or when there is intentional misconduct, gross negligence, physical or life infringement, noncompliance with guaranteed quality, improper concealment of defects, or violation of basic contractual obligations, Siemens shall not be liable for defects in quality or rights. Damages for breach of basic contractual obligations are limited to foreseeable damages in typical contracts, in the absence of intentional misconduct or gross negligence.
9.2. While Siemens makes every effort to protect Siemens websites from viruses, we do not guarantee that viruses are free. Users shall take safety measures to protect themselves and use a virus scanner before downloading all information, software, and documents.
9.3. Sections 9.1 and 9.2 are not intended or implied to change the burden of proof to the user's disadvantage.
10.1. The transfer of information, software, or documentation requires permission depending on its nature, purpose of use, or final destination. Users must strictly comply with transfer regulations covering information, software, and documents, particularly those of the EU, EU member states, and the United States. Siemens shall label information, software and documents relating to the German and EU Transfer Restriction Lists as well as the American Commercial Restriction Lists.
10.2. The user shall confirm and guarantee the following matters in an appropriate manner prior to transfer, in particular: - Information, software, or documents are not used for military, nuclear technology, or weapons-related purposes - American-made products, software, or technology are not distributed to companies or individuals listed on the US Offenders List (DPL) - Americanmade items are not distributed without a license to companies or individuals listed on the US Warning List, Group List, or Specially Designated Countries List - Specially Designated Terrorist Lists, Foreign Terrorist Organizations You can only access software, documents, and information on the Siemens website if the above items have been confirmed and guaranteed that the goods will not be delivered to companies or individuals listed on the list, the Specially Designated Global Terrorist List, or the EU terrorist list - that the recipient is not a military person - that the above items are in compliance with the German authorities' early warning instructions. If the user does not comply with the above items, Siemens shall have no obligation to do so.
10.3. If requested, Siemens shall communicate relevant contacts to the user in order to provide additional information.
With respect to the collection, use, and processing of data that can identify users on Siemens websites, Siemens shall comply with laws applicable to data confidentiality protection and the Siemens website data protection privacy policy. The privacy policy can be found in the footer section of the Siemens website.
12.1. Additional agreements shall be made in writing.
12.2. The Tokyo District Court shall be the court of competent jurisdiction for disputes relating to this use and these terms of use, etc.
12.3. Each page on the Siemens website is operated and managed by Siemens Corporation or an affiliated company. The web page complies with the laws of the country where each company responsible for it is based in business. There is no indication that the information, software, or documentation on the Siemens website is appropriate or available for display or download in locations outside of the same country. If a user accesses the Siemens website from outside the same country, the user is responsible for complying with all applicable local laws. Access to information, software or documentation on Siemens websites is prohibited if it violates the laws of that country. In these cases and if the user is seeking to do business with Siemens, they must contact a Siemens representative in the country where the transaction takes place.
12.4. These Terms of Use shall be governed by the laws of Japan, excluding conflict of laws, and all disputes or matters subject to these Terms of Use shall be resolved by the same law.The
United Nations resolution on Contracts for the International Sale of Goods (CISG) of April 11, 1980 shall not apply.
